Mergers & Acquisitions
More and more businesses are recognising that organic growth or lateral hiring cannot give the speed of growth required.
Because we understand your business we can identify other businesses who will fit with you and give you the growth you want.
Once you agree who you are interested in talking to we approach them discreetly and confidentially.
We then guide you through the evaluation and discussion process and give you the support you need.
Why?
You may know that in a market which has ever larger players in it and ever greater competition you need to be larger in order to compete. You may realise that some parts of your business are not as strong as you need them to be.
It could be that your business model is coming to the end of the road but you believe that some or all of what you have could form a key part of another growing business.
You could see economies that could be made in a larger business by sharing support functions across a larger business. Larger businesses can offer more specialisms and have critical mass in more business areas.
How?
Traditionally firms would speak to other firms they already knew. That can be a difficult conversation and confidentiality can be the first casualty.
Alternatively firms would speak to their accountant or bank manager. The problem is they only know who they know and cannot make a proper assessment of the market or the range of opportunities in it.
We can help with the whole process:
- Define and understand the rationale
- Identify potential M&A targets
- Execute the transaction
- Integrate
Rationale
Is there a clear strategy of which M&A forms a part or is this opportunistic and just seeking revenue growth? Is it reactive to distressed approaches? What is the best sort of opportunity to look for? Should it be just expansionary or transformative?
We will discuss the rationale with you and help you sanity check what you think you want to do.
Identify Potential Targets
Is there a clear strategy of which M&A forms a part or is this opportunistic and just seeking revenue growth? Is it reactive to distressed approaches? What is the best sort of opportunity to look for? Should it be just expansionary or transformative?
We will discuss the rationale with you and help you sanity check what you think you want to do.
Execute
We begin by making confidential approaches to the potential targets to find out their attitude in general terms and whether they want to know more.If the conversation is to progress we would usually ask them to sign a confidentiality agreement.
If they want to proceed to meet you we can facilitate the discussion process. Along with your other advisers we can help you to evaluate the propositions presented by different targets and advise on the best route forward.
Integrate
We can help you with the key People and culture aspects of post merger integration.
